Proposal Terms and Conditions

  1. This proposal is valid for 30 days from proposal’s date. The price includes measurements, fabrication, delivery, and installation of the materials specified unless specifically stated.
  2. The price does not include evening or weekend working hours. The price does not reflect Pennsylvania prevailing wage rates. Normal working hours are 7:00 am to 3:30 pm Monday through Friday. Evening, weekend, and/or prevailing wage rates will increase the price.
  3. Changes to the proposal must be in writing signed by both parties. The proposal’s price is subject to change if there are changes to the size or configuration after final field measurements or if options not listed in the actual proposal are added.
  4. All material will be furnished in accordance with the respective industry tolerances of color variation, thickness, size (+/-1/8″), texture and performance standards. United Plate Glass will not be responsible for customer provided measurements.
  5. If existing obstructions need to be removed or customer’s structure needs to be modified or corrected for installation, United Plate Glass reserves the right to require customer to modify the work area at customer’s cost. If this action results in an installation time increase and/or reschedule, customer may incur additional charges.
  6. United Plate Glass shall not be responsible for damage to its work by others, including damage caused by customer or customer’s employees, agents and/or contractors.
  7. If United Plate Glass is required to install “customer provided” materials, United Plate Glass is not responsible for any damages to customer’s glass or any other materials surrounding or in the area of the work being performed.
  8. Any items not specifically listed and priced in the proposal are excluded; any changes from this proposal to hardware or materials listed in the proposal may change the price and will be subject to a written Change Order.
  9. Lead times given are based on information provided by suppliers and manufacturers and are subject to change at any time without notice. United Plate Glass shall not be responsible for longer than expected lead times and/or delays caused by suppliers, manufacturers, supply chain backlogs, global pandemics, and/or other forces of nature or acts of God.
  10. If Contractors withhold payment to United Plate Glass due to nonpayment from Owner, United Plate Glass reserves the right to contact the Owner regarding the status of payments on the Project.
  11. One trip for Field Measurements and one trip for installation per project are included in the bid proposal. Field Measurements will be taken after United Plate Glass is notified that the areas of its scope of work are ready for measurement. Additional trips due to openings not being ready and/or unacceptable installation conditions will result in a $220.00 per additional trip charge.
  12. The following are excluded from the bid proposal: final protection and cleaning, glass or mirror breakage by others, testing, engineering, permits, bonds, demolition. temporary enclosures, repairs or modification of existing opening or frames, any electrical work, any other work not listed in the scope of work.
  13. Removal of existing materials may damage the existing materials and/or surfaces or may expose tile/structural issuesUnited Plate Glass does not assume any responsibility for damages due to or during removal of existing materials. Additional trips required due to these issues will result in $220.00 per additional trip charge.
  14. All glass and/or mirror products must be inspected at the time of pick up/delivery or installation. United Plate Glass is not responsible for the glass and/or mirror product once it leaves the store premises or has been accepted after delivery/installation.
  15. Items up to 36″ x 48″ will be wrapped in brown paper. Sizes larger than 36″ x 48″ will not be packed or wrapped. Packing is available for extra charge and must be requested at the time of order. It is the responsibility of customer to have a suitable vehicle that is prepared to handle the materials to be picked up. During loading, United Plate Glass will not be held liable for any damages to customer’s vehicle, personal items in the vehicle, or any bodily injuries that may occur during loading and transportation.
  16. On acceptance of the proposal, Customer agrees to pay a 50% deposit (on orders over $500.00) for materials and labor, and to pay the remaining balance of the agreement upon completion of the work. The remaining balance will be charged according to the original payment method on file unless other payment arrangement is made by Customer at the time of payment of deposit.
  17. Customer agrees that in the event of any action or proceedings brought for the recovery of amounts due for products or merchandise or services obtained from United Plate Glass to pay all costs of collection including but not limited to attorney’s fees and/or other collection costs. The customer further agrees to pay a $35.00 fee for each returned check.
  18. United Plate Glass is not responsible for any existing structural issues that may interfere with the installation and/or lead to unsightly reveals. Structural issues and/ or modifications that may arise before, during, or after the glass installation are explicitly the customer’s responsibility.
  19. In instances where glass shower doors are to be installed onto decorative glass tiles, United Plate Glass will not be responsible for damage or breakage of tile. In the event of broken glass-tiles, the customer would have to repair the affected area, and United Plate Glass can return to do the installation again, which may involve additional charges. When designing your shower, it is recommended to avoid decorative glass tiles in the installation area of shower door attachments.
  20. If dimensions are changed after United Plate Glass measurements are completed and the changes in dimensions lead to the inability to install customer’s product, customer will incur additional charges as additional materials and fabrication.
  21. Once the delivery/installation appointment for your project is confirmed, this time will be reserved just for you. If you are unable to keep this appointment United Plate Glass will need a notification at least one business day in advance. Failure to provide such notice will result in additional trip charges and further delays due to our scheduling load.
  22. United Plate Glass reserves the right, in its sole discretion, to add, remove, modify, or otherwise change any part of these Terms and Conditions, in whole or in part, at any time. No modifications are to be made by redlining, initialing, or changes in the writings, except as otherwise expressly contemplated herein, changes will be effective when approved in writing by the President of United Plate Glass.
  23. Customer shall indemnify and hold harmless United Plate Glass, its officers, shareholders, employees, consultants, and anyone for whose acts United Plate Glass may be held liable, from and against any and all claims, suits, demands, liabilities, losses, damages, and costs, including attorneys’ fees and defense costs, arising, or allegedly arising out of or in any way related to this Proposal and the project contemplated hereunder.
  24. Notwithstanding any other provision of this Proposal, and to the fullest extent permitted by law, United Plate Glass and Customer shall not be liable to the other and neither shall make any claim for any incidental, indirect, or consequential damages arising out of or connected in any way to this Proposal. These mutual waivers of consequential damages shall Include, but are not limited to, loss of use, loss of profit, loss of business, loss of income, loss of reputation or any other consequential damages.
  25. Customer agrees, to the fullest extent permitted by law, that United Plate Glass’s total liability to Customer for any and all claims, suits, demands, liabilities, losses, damages and costs whatsoever, arising out of or in any way related to this Proposal, shall not exceed the amount of $50,000. A higher limit may be negotiated and agreed upon in writing.
  26. All work performed by United Plate Glass will be warranted against defects for a period of one year from the date of Substantial Completion. Substantial Completion is defined as the point at which the structure/Project may be used for its intended purpose. United Plate Glass shall not be liable for damages to the contract work resulting from abuse, neglect, normal wear and tear, and/or lack of owner maintenance.
  27. The parties agree that this proposal shall be governed by Pennsylvania Law. Any and all claims, suits, disputes, and legal proceedings arising out of this contract must be filed and litigated exclusively in the Court of Common Pleas of the county in which the work is performed, and the project located. However, the parties may, by mutual agreement agree to submit any claims, suits, disputes, or legal proceedings to binding arbitration and/or non-binding mediation as they may agree.
  28. The Proposal and these Terms and Conditions constitute, and are intended to be, a final, integrated, complete agreement between United Plate Glass and Customer. Neither United Plate Glass nor Customer shall be bound by any covenants, agreements, statements, representations or warranties, oral or written, not contained in this Agreement. No change or modification to this Proposal, including the Terms and Conditions, shall be valid unless the same is in writing and signed by both parties. No waiver of any of the provisions of these Terms and Conditions shall be valid unless the same is in writing and is signed by the party against which it is sought to be enforced.
